Intermex Distributor, as a leader in the distribution industry of collectibles, comics, books, and magazines in Mexico, has distinguished itself as a creative and innovative company. Since 2014, it has begun developing a new market for collectibles, books, comics, and magazines, distributing products from several international brands.

Thanks to the success achieved since that date, we decided to create a brand that would allow us to improve our market positioning, for which we created tuscoleccionables.com, with the aim of offering a range of collections to our subscribers throughout Mexico. For this reason, the TuShoppi e-commerce was derived to expand our distribution and marketing in the digital sector.

TERMS AND CONDITIONS OF USE

Welcome to the website www.tushoppi.mx (the “ Site ”), owned by Distribuidora Intermex, SA de CV, (“ Intermex ”), and affiliated websites, which offer access to the website and the sale of products and services for the sale of subscriptions to collectibles, comics, books and magazines, under the terms and conditions set forth below. (The “ Services ”). We ask that you read these terms and conditions carefully before using the Site.

These terms and conditions of use apply to all users of the site, including, without limitation, browsers, vendors, customers, merchants, and/or contributors of content, content and/or any person whatsoever who registers and/or uses any of the services offered through this page, (the " User(s) ").

The Site provides Users, directly or indirectly, with access to and/or use, as the case may be, of a range of online resources, services and content.

By entering and using the Site, the User fully and unconditionally accepts the terms and conditions of use of this Site, as provided by Article 1803 of the Federal Civil Code and by Article 89 and other related and applicable articles of the Commercial Code.

The information contained on the Site may be modified without prior notice as Intermex deems appropriate. Intermex reserves the right to make changes to this site, in which case it will be the User's sole responsibility to be aware of any changes made. Changes will be effective when posted on the Site. Please periodically review the Site for updates regarding presentations, products, information, services, and the established terms and conditions of use.

However, each time the User accesses the Site and processes a purchase, this will be considered absolute acceptance of the Site's modifications.

GENERAL CONDITIONS

Please read the terms and conditions of sale carefully before making any purchase on our Site. By making a purchase, you fully and unconditionally accept the terms and conditions described.

The purchase of product(s) on the Site implies the acceptance of a sales contract between the User and Intermex, (the " Parties "), the object of which is the sale of goods such as collectible products, books, comics and magazines, (the " Products "), which are offered for personal use and not for commercial purposes, according to their specific and technical characteristics. These Products may be purchased by Users with a maximum up to 3 products from the same edition, however, the Products may be limited at the time of purchase.

Intermex reserves the right to cancel the purchase and refund the sale price of the products, in the event that the User purchases more than 3 (three) pieces of the products from the same edition.

SUBSCRIPTION SERVICE .

The tushoppi.mx Subscription Service consists of the recurring purchase of Products by Users within a specific time interval, either for the duration of the collection or for a specific number of issues the User wishes to purchase, through recurring monthly charges to the User's credit card and/or debit card.

Your Collectibles does not intentionally sell to minors; however, parents or guardians of minors will be responsible for their actions in accordance with these Terms and Conditions of Use, including damages caused to third parties, actions carried out by them that are prohibited by law and by the provisions of this agreement, without prejudice to the User's liability, provided that the latter is not the parent or legal representative of the minor offender.

Advantages of a monthly subscription to Shoppi.com.mx

The main advantage is its great convenience for the user. With this subscription model, you don't need to go out and shop or search for your favorite product edition, as your products will arrive monthly to your home or the address you specify.

The User accepts that use of the Site will be subject to the following general conditions:

1. Users wishing to purchase the Products must enter the Site to make their free purchase. In the case of subscriptions, they must send their full name, address, email address, and telephone number (mobile and/or landline), as well as the name of the collection to which they wish to subscribe, to the email address. contactotushoppi@ollamani.com

2. The User must be of legal age and declare under oath that the information provided for the purchase of the Products is true.

3. In the event that the User is a minor, he/she must subscribe under the supervision and consent of an adult, parent, or legal guardian, as the latter must validate

4. The purchase will be considered complete once the User receives confirmation via email. (This procedure is detailed below.)

5. The acquisition, purchase, sale or obtaining of any Product and/or services through the Site is at the sole and exclusive risk of the Users.

6. Making a purchase on the Site implies acknowledgment and acceptance of these terms and conditions. Once a purchase is made, it will be deemed that the User has read and accepted these terms and conditions.

SITE INFORMATION.

The User acknowledges and agrees that the information, formulas, trademarks, proprietary services, data, text, software, sound, photographs, graphics, videos, messages, or other materials used to promote the sale of the Products on the Site are the exclusive property of Intermex and its Publishers.

The Parties agree that certain content, products and services available through the Site may lead to links to other Internet sites and/or third-party resources. Intermex is not responsible for examining or evaluating the content or accuracy and does not warrant and assumes no responsibility or liability for any third-party materials or websites, or for any other materials, products, or services of third parties.

THIRD PARTY LINKS.

Intermex will not be liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites.

Intermex has the highest security through the 3DS system, however, Intermex will not be responsible for applications and/or file downloads from third parties, so the User must assume all risk and take responsibility for all precautionary measures to avoid being affected by destructive elements such as computer viruses, information theft, loss of information, misleading advertising, malicious emails, etc.

We encourage you to carefully review these third parties' policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to those third parties.

The User acknowledges and accepts that Intermex is independent of third-party sponsors and advertisers whose information, images, advertisements, and other advertising or promotional material may be published on the Site, and therefore such advertising material is not part of the primary content published on the Site.

INTELLECTUAL PROPERTY RIGHTS OF THE PRODUCTS

From the Site:

The User may use the Site to purchase Products that Intermex offers for sale through it. In this regard, printing and/or reprinting of the Site, extraction, elimination, or alteration of information, trademarks, commercial notices, characters, or works displayed and/or published on the Site, electronic reproduction, copying, sale, sublicensing, derivative, isolated, and/or unauthorized uses, access through systems that jeopardize the security of the Site, as well as any type of exploitation of the Site, in whole or in part, that Intermex has not authorized through these terms and conditions, are prohibited. Therefore, any other use and/or exploitation by the User will be subject to the penalties provided for in the Federal Copyright Law and the Industrial Property Law.

Third Party Intellectual Property:

The brands, names, commercial notices, titles and characters related to the Products are the property of their respective owners and are protected by international treaties and applicable laws on industrial property and copyright, so their reproduction, imitation, exploitation, copying, modification, alteration, sale, deletion of elements that comprise them, their use, isolated use or related to Products and/or services or other brands, must have prior and express authorization from their respective owner, so that if you do not have the corresponding authorization, you will be subject to the provisions of the Industrial Property Law as well as the Federal Copyright Law as well as the sanctions that they contemplate.

Likewise, the User accepts and acknowledges that the Products that Intermex offers for sale through the Site are works protected by the Federal Copyright Law, as well as the international treaties on Copyright to which Mexico is a party, so the purchase and/or acquisition of the products does not entail the acquisition of the copyright over the work; therefore, the modification, copying, reproduction, adaptation, editing, fixation, rental, distribution of the works (products), as well as the exploitation of derivative works made from the products will be subject solely to the authorization of the rights holder, so any unauthorized use and/or exploitation by the user of the works will be subject to the sanctions provided for in the previously mentioned legislation.

Intermex Intellectual Property

Any and all names, formulas, slogans (" Commercial Notices "), logos, designs and domain names, brands, etc., used on the Site that include the word TuShoppi and/or Tushoppi.com.mx in their name, are registered trademarks and/or assets owned by Intermex (Intermex Intellectual Property). The User agrees not to use, reproduce, duplicate, modify, alter, imitate, copy or delete any element that comprises them, sell or exploit, partially or totally under any circumstances, the Intellectual Property of Intermex. Likewise, the use of the brands (names and designs) in isolation or in relation to Products, services or other brands without prior written authorization from Intermex is prohibited.

Intermex's intellectual property is protected by the Federal Copyright Law, the Industrial Property Law, and other applicable legislation on the subject matter. Therefore, any unauthorized use by the User without Intermex's consent will be subject to the provisions of the aforementioned legislation.

The wording of the terms and conditions may not be understood under any circumstances as an authorization or license on the part of Intermex for the user to i) Use or exploit third-party brands displayed on the site, ii) Use or exploit third-party characters and/or works displayed on the site, iii) Use or exploit Intermex's Intellectual Property.

PRODUCT FEATURES AND INSTRUCTIONS.

The information provided about each Product, as well as any photographs or videos relating to them and any trade names, trademarks or distinctive signs of any kind contained on the site, are displayed for guidance purposes only.

All products can be used by minors; however, there are small parts in the collections that can cause choking. Therefore, it is recommended that collections be assembled under adult supervision and that all safety measures indicated in each collection section be followed.

PRICE OF PRODUCTS.

Product prices will be expressed in Mexican national currency and include VAT and any other applicable taxes. These prices do not include the cost of shipping the Products. These costs will be expressed in Mexican national currency and vary for each Product. Please review the Product prices.

PRODUCT AVAILABILITY.

The User will not consider it a breach by Intermex of these terms and conditions if the Products offered on the Site are unavailable and/or out of stock for purchase.

If the Products the User wishes to purchase are not available, the User will be notified that the Site does not have the Product, under the legend Out of Stock, or, if applicable, it will not be possible to add the Product to the shopping cart.

Intermex is not responsible for any breach of this contract in the event of a shortage or unavailability of the product, due to force majeure, failure and/or interruption, or total or partial strike of the postal, transportation, and/or telecommunications services that distribute the Products for sale through the Site.

PAYMENT METHODS FOR PURCHASES.

The only payment method accepted for the purchase of Products by the User is through payment by VISA, MASTERCARD, or AMERICAN EXPRESS credit card, or debit card through the Site. Once the User selects the Product to purchase and confirms their decision, they will be redirected to the Banco Santander banking page to complete the payment form and complete the authentication certification methods indicated by the issuing bank. Once the payment is accepted, the User will be notified that their purchase was successful.

If the purchase was denied by the receiving bank, the user will be asked to provide a new payment method, provided it is a credit or debit card. Payment can only be made by the cardholder.

In the event of ignorance by the corresponding Banking Institution of the charges made by the User corresponding to through credit card and derived from operations carried out on the Site, Intermex reserves the right to initiate the corresponding legal actions and establish criminal or civil liabilities as the case may be or of any other nature, as well as to carry out all those internal actions that may range from charging the credit card of said User to the definitive cancellation of the User on the Site, for which no prior authorization of the User will be necessary.

PAYMENT METHOD FOR RECURRING CHARGE SUBSCRIPTIONS

Once the User has decided to purchase Products on a recurring basis and opts for the Subscription Service, they will be asked for bank details to be processed through the payment platform. The receiving bank will make the recurring charge each month according to the instructions provided by the issuing bank. The Products will be delivered to the User where indicated, according to the service frequency established for each Product.

Using credit and debit cards for purchases on the Site is convenient and secure, and the security and integrity of the payment method information provided will be maintained through the 3DS security system. All data provided by the User is stored on secure servers, and Intermex has no access to your banking information. Therefore, under no circumstances will the Site or Intermex be liable for cyber fraud, data theft, or any other similar incident.

Intermex and the Site do not have alternate websites, so the User is asked to verify their authenticity before making any purchase.

PURCHASE CANCELLATION

The User may not cancel the purchase; replacement only applies in the event of damage and/or defect in the Products. Therefore, the User must follow the procedure outlined in the "Returns" section of these Terms and Conditions.

SHIPPING AND DELIVERY OF PRODUCTS TO THE USER

Once the purchase has been authorized by the Site and the Bank issuing your card, the User will receive an email from Banco Santander or the Site, notifying them that their purchase has been successful.

The processing time for your Product(s) purchase order after being paid and authorized by the issuing bank will be 1 to 3 business days.

All orders are subject to confirmation and product availability. In the event of an inventory or system error, we reserve the right to cancel the order and/or purchase. To do so, we will send the User a notice of order and/or purchase cancellation to the designated email address.

Upon delivery of the Products to Estafeta's courier service, Estafeta will be responsible for them until they are delivered to the User's address. Shipments to the address provided by the User are made through Estafeta's delivery and shipping services. Therefore, we ask that you review the shipping terms and conditions for the purchased Products at www.estafeta.com.

If Estafeta is unable to deliver on the first attempt, a notice will be left for the recipient and a second visit will be scheduled, at no additional cost, according to the postal code's service frequency. If the shipment cannot be delivered on a second occasion, Estafeta will deposit it at the point of sale closest to the destination address, leaving a notice for the recipient. The shipment will remain at the point of sale for up to 5 (five) calendar days before being returned to Intermex.

Please note that Product delivery and shipping services do not operate on weekends or holidays.

SHIPPING COST

The shipping cost for the Products will be $119.00 (One hundred nineteen pesos, 00/100 Mexican pesos), which will be communicated to the User at the time of purchase. This shipping cost will apply regardless of whether one or more Products are shipped.

RETURN AND REFUND POLICY.

User satisfaction and trust are very important to us. Therefore, we want to ensure that you follow the steps you should take when requesting a product return after making a purchase from us.

Due to the nature of the Products, revocation of consent to purchase the Products does not apply once they have been purchased. We do not issue refunds on payments made; we only replace items if they are defective or damaged, and we may replace the product with an identical product of the same version, provided they were purchased on the Site and are in stock. To do so, you must notify us of this situation by email to contactotushoppi@ollamani.com and support this information with photos showing the damage to the purchased Product.

Intermex Customer Service will provide you with a prepaid return receipt for damaged items to the nearest Estafeta branch for product replacement.

Once the User has received the shipping guide, any Product changes are made directly with the customer service area, available by email. contactotushoppi@ollamani.com with your information and the problem with your order. The User will have a period of 5 (five) business days from delivery of the Product to return the product due to damage, provided that it has not been used or consumed, and has been kept in the original condition in which it was delivered (including accessories, packaging, manuals (if applicable), among others). In the event that the Product purchased by the User is unavailable, Customer Service will contact the User and offer alternative products. Under no circumstances will the payment be refunded.

The return must include the purchase receipt, order number, and complete customer information, including a phone number and email address where we can contact them and notify them of the process.

Once the Products are received by Intermex and inspected, we will send you an email to notify you that we have received your item. The User will receive their Product back at their home within 5 to 10 business days after Customer Service notifies them of the Product shipment. Each Site User is solely responsible for maintaining the security of their passwords and other account identifiers. The account holder is fully responsible for all activities that occur under their password or account. Furthermore, the User must notify Intermex of any unauthorized use of their password or account. Tu Shoppi will not be liable, directly or indirectly, for any loss or damage of any kind incurred as a result of the User's failure to comply with this section.

In no case shall Intermex, its directors, officers, or employees be liable for any injury, loss, claim, or any direct, indirect, incidental, consequential damages, loss of data, replacement costs, or any similar damages, including negligence, strict liability or otherwise, arising from your use of any of the services or products purchased.

Intermex will not be liable for any modification, price change, suspension, or discontinuation of the Product and/or service. Certain Products and/or services may be available exclusively on the Site and may be available in limited quantities.

Likewise, exchanges and returns will only proceed in accordance with our Return Policy.

COMPENSATION.

The User agrees to indemnify Intermex, its affiliates, suppliers, vendors and advisors from any action, demand or claim (including attorneys' fees and court costs) arising from any breach by the User of these terms and conditions, including, without limitation, any of those arising from: a) Any aspect relating to the use of the website; b) The information contained or available on or through said site or from libel, defamation or any other conduct in violation of these terms and conditions; c) The violation of applicable laws or international treaties relating to copyright or intellectual property, contained in or available on the Site.

TERMINATION OF TERMS AND CONDITIONS

The User may terminate the subscription service for the purchase of the Products at any time by notifying the Site by email to the Customer Service area at least 7 (seven) calendar days prior to the corresponding payment date, requesting the cancellation by email. contactotushoppi@ollamani.com The customer service department will respond within 5 calendar days.

TAXES.

The Parties hereby acknowledge that each of them is responsible for fulfilling its tax obligations.

ASSIGNMENT OF RIGHTS.

Intermex may only assign or transfer its rights and obligations arising from these terms and conditions when carried out between subsidiaries, affiliates or companies that are in any other way related or linked to Grupo Televisa, SAB.

TOTAL AGREEMENT BETWEEN THE PARTIES.

These terms and conditions constitute the full agreement of the Parties and a complete agreement with their contents. Notwithstanding the foregoing, Intermex reserves the right to add, modify, or delete terms and conditions, which will be published on the Site.

HEADINGS.

The headings in these terms and conditions are included solely for ease of reference and shall not affect their interpretation in accordance with the law.

APPLICABLE LAW AND JURISDICTION.

These terms and conditions shall be governed by and construed in accordance with the laws of Mexico. The Parties expressly and irrevocably agree to submit to the jurisdiction of the courts located in Mexico City with respect to any claim, action, or proceeding arising out of or related to the performance of these terms and conditions, and irrevocably waive any other jurisdiction that may apply to them based on their present or future domiciles or for any other reason.

PRIVACY NOTICE

CONTROLLER OF PERSONAL DATA.

Distribuidora Intermex, SA de CV (hereinafter " Intermex ") with address at Lucio Blanco No. 435-B, Colonia San Juan Tlihuaca, Azcapotzalco, CP 02400, is committed to protecting the personal information provided by users (hereinafter " Personal Data ") in the Intermex online store and is responsible for its processing (term defined below) when collected through Tushoopi.com.mx and/or Tuscoleccionables.com (hereinafter the " Sites ")

PURPOSE OF THE PROCESSING OF PERSONAL DATA.

Intermex may request and/or collect Personal Data from users through the Sites for the purposes indicated below, as well as to comply with legal provisions that require it (hereinafter " Processing "). Intermex and/or any third party involved in any phase of the Processing of Personal Data will maintain confidentiality regarding such data in accordance with the legal provisions applicable in the United Mexican States (hereinafter " Mexico ").

The Personal Data that users provide through the Sites is used for (i) the delivery of Products purchased through the Sites, (ii) to send users information related to product delivery, and (iii) to contact users for updates, clarifications, and/or any information regarding orders placed through the Sites. Intermex may use Personal Data for other purposes, provided that such purposes are compatible and can be considered analogous to the foregoing.

PERSONAL DATA TO BE COLLECTED.

The Personal Data requested from users are:

• Telephone number (mobile and/or landline)

CONSENT.

Browsing the Sites implies full and unreserved consent to the processing of your Personal Data in accordance with this Privacy Notice.

The owner of the Personal Data declares that he or she is of legal age on the date such data is provided and has full legal capacity. In the event that, as an exception, the Personal Data of minors or of persons who are under a state of interdiction or incapacity established by law is processed, the Personal Data of said owners will not be collected or processed without the prior consent of the person exercising parental authority, or, where applicable, of the guardian or legal representative, in accordance with the rules of representation applicable in each case.

If Intermex, due to human or technical error, or due to the owner's inadvertence, were to collect Personal Data from minors or incapacitated persons, such Personal Data will be deleted from the databases containing such data as soon as it becomes aware of it.

MEANS TO LIMIT THE USE OR DISCLOSURE OF PERSONAL DATA.

Intermex has physical, technical, and administrative security measures in place to protect the Personal Data provided by Users.

TRANSFER OF PERSONAL DATA.

Intermex may, without the consent of the owner, reveal, disseminate and/or transfer within and outside the country the Personal Data provided by users, to its affiliates, subsidiaries and/or related companies, as well as to comply with legal provisions that require it, or when requested by competent authorities.

MEANS FOR EXERCISING THE RIGHTS OF PERSONAL DATA OWNERS AND REVOCATION OF CONSENT.

Users may request the exercise of their rights to:

• Access your Personal Data.
• Rectify your Personal Data when it is inaccurate or incomplete.
• Cancel your Personal Data.
• Oppose for legitimate reasons the processing of your Personal Data, and/or
• Revoke your consent to the processing of your personal data at any time, so that it is no longer used.

However, please note that we may not always be able to address your request to delete your Personal Data, object to processing, or revoke your consent, as we may be required to continue processing your Personal Data due to a legal obligation.

The exercise of the rights of Access, Rectification, Cancellation or Objection of Personal Data and Revocation of consent by users must be requested from Intermex and contain at least the following:

• The name of the owner, address and email address to communicate the response to your request.
• Documents proving the identity or, where applicable, the legal representation of the owner.
• A clear and precise description of the Personal Data for which you wish to exercise any of the aforementioned rights (in the case of rectification, you must indicate the modifications to be made and provide the documentation supporting your request).
• Any other element or document that facilitates the location of Personal Data.

Intermex will respond to User requests within 20 business days from the date it receives the request, using the email address provided for this purpose.

The exercise by Users of the aforementioned rights must be subject to the applicable laws and regulations in force in Mexico.

COOKIES AND WEB BEACONS.

In order to improve Users' experience on the Sites, "cookies" may be used. For the purposes of this Privacy Notice, "cookies" are text files that a website transfers to a user's computer hard drive for the purpose of storing certain records and preferences. Intermex may use "cookies" to better understand user interaction with the Site and the services provided. The Site may allow advertising or third-party features that send "cookies" to users' computers. The use of "cookies" does not personally identify users, only their computers.
